Service Agreement
1. Services
1.1 OrderingToday agrees to provide Merchant with access to its online ordering platform, including but not limited to website and mobile applications (“Platform”), through which Merchant can list its products, receive orders online, and manage deliveries.
1.2 Merchant agrees to provide accurate and up-to-date information about its products, pricing, operating hours, and other relevant details required for listing on the Platform.
1.3 By using our services, merchants grant OrderingToday permission to utilize their logos, pictures, and any other relevant data for display on our website and promotional materials.
2. Features and Benefits
2.1 OrderingToday empowers Merchants in the following ways:
a. Diverse ordering channels, allowing customers to gain additional avenues for direct orders via Merchants own website, Google Search, Google Maps, and other social media platforms. Take control of their sales channels and reduce reliance on third-party platforms.
b. Profit increases through streamlined operations and reduced costs. OrderingToday offers a competitive rate of just 18%. That’s a whopping 12% in savings that Merchants can either pocket as profit or pass on as discounts to their valued customers.
c. For seamless and expedited payment processing, guaranteeing the prompt receipt of funds, OrderingToday operates on a structured schedule. Typically, funds are processed on the 14th and 28th of each month, with payouts disbursed within the subsequent 5 working days.
d. Data transparency, enabling Merchants to access real-time customers data and performance metrics, empowering them to make informed decisions and cultivate lasting relationships.
e. Insightful analytic report, providing valuable data and trends to optimize inventory and sales strategies. Receive detailed daily, weekly, and monthly sales reports to analyze performance, fine-tune strategies, and drive revenue growth.
f. Marketing support, including promotional campaigns and advertising initiatives to increase visibility and sales, be it online or offline. Benefit from OrderingToday comprehensive marketing support to amplify Merchants brand presence and attract more customers.
g. User-friendly experience. With intuitive interfaces, both Merchants and customers can now enjoy seamless online ordering and delivery tracking directly via a responsive website, eliminating the need for yet another app download.
3. Terms of Service
3.1 Merchant agrees to comply with all terms of service, policies, and guidelines provided by OrderingToday for the use of the Platform, including but not limited to quality standards, delivery protocols, and customer service requirements.
3.2 OrderingToday reserves the right to make any changes to the terms of service, policies, and guidelines at any time without prior notice, and Merchant agrees to adhere to such changes upon notification.
4. Fees and Payments
4.1 OrderingToday charges 18% based on the order amount for the mentioned services provided to the merchant.
4.2 The payment made by the customer will be handled by OrderingToday initially, and then the remaining balance will be reimbursed to the merchant after deducting the fees.
For seamless and expedited payment processing, guaranteeing the prompt receipt of funds, OrderingToday operates on a structured schedule. Typically, funds are processed on the 14th and 28th of each month, with payouts disbursed within the subsequent 5 working days.
Additionally, OrderingToday offers an expedited payment option whereby merchant payments are swiftly released following the deduction of applicable fees. This ensures merchants have immediate access to their funds, provided all requisite requirements and statutory documentation have been duly submitted and completed.
5. Responsibilities
5.1 OrderingToday shall use commercially reasonable efforts to ensure the smooth functioning of the Platform, including support, technical maintenance, and updates.
5.2 Merchant shall be responsible for fulfilling orders placed through the Platform, including preparing items, packaging, and ensuring timely delivery to customers.
6. Confidentiality
6.1 Both parties agree to maintain the confidentiality of any proprietary information shared during the course of this Agreement, including but not limited to business strategies, customer data, and technical specifications. This obligation extends for six (6) months from the termination of this Agreement.
7. Term and Termination
7.1 This Agreement shall commence on the effective date and shall remain in effect for a period of one (1) year until terminated by either party with thirty (30) days prior written notice.
7.2 OrderingToday reserves the right to suspend or terminate Merchant’s access to the Platform with immediate effect in the event of breach of this Agreement, violation of OrderingToday’s policies or engaging in behaviour detrimental to OrderingToday reputation.
8. Governing Law
8.1 This Agreement shall be governed by and construed in accordance with the laws of Malta, without regard to its conflict of laws principles.
9. Damage of Goods
9.1 In the event of any incident resulting in damage of goods during the delivery process, each party (OrderingToday, Merchant, and Rider) shall bear 33% of the total value of the order as compensation for any damages incurred.
10. Acknowledgment of Agreement:
10.1 Voluntary Agreement: This agreement is signed voluntarily by the Merchant, indicating their commitment to uphold the terms and responsibilities outlined herein.
10.2 Indemnification: The Merchants agree to indemnify and hold OderingToday harmless from any claims, responsibilities, liabilities, potential lawsuits, costs, or expenses arising from the Merchant’s actions during and after the term of this Agreement.
Amendment Of Terms
We reserve the right to change, modify, add or remove portions of these terms at any time. Please check these terms regularly prior to using our service or website to ensure you are aware of any changes. If you choose to use our service or website then we will regard that use as conclusive evidence of your agreement and acceptance that these terms govern your and OrderingToday’s rights and obligations to each other.
Limitation Of Liability
It is an essential precondition to you using our service or website that you agree and accept that OrderingToday is not legally responsible for any loss or damage you might suffer related to your use of our service or website, whether from errors or from omissions in our service, documents, information or from any other use of this service or website. This includes your use or reliance on our service or website and any third party content, links, comments or advertisements. Your use of, or reliance on, our service or any information or materials on this website is entirely at your own risk, for which we shall not be liable.
It shall be your own responsibility to ensure that our service or information available through this website meet your specific, personal requirements. You acknowledge that our service or information and materials contained in our website may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.
Indemnity
You agree to defend, indemnify and hold us, its officers, directors, members and agents harmless from and against any and all claims, charges, actions, liabilities, investigations, demands and similar, including but not limited to any costs, losses, damages whether direct, indirect, consequential or special and all legal fees resulting from your breach of our terms and conditions, content you may provide to our service or website, and any activity you may engage in through our service or website or use of our service or website.
Competition & Consumer Act
For the purposes of Schedule 2 of the Maltese Consumer Affairs Act, particularly Articles 38 to 40 and 43 of Chapter 378 of the Laws of Malta, OrderingToday’s liability for any breach of a term of this agreement is limited to the amount paid by you to use our service.

This agreement and this service and website are subject to the laws of Malta. If there is a dispute between you and OrderingToday that results in litigation, then you must submit to the jurisdiction of the courts of Malta.
